Delta Dynamics — Affiliate / Referral Program Terms

These Affiliate Terms ("Terms") are a binding agreement between Delta Dynamics, a brand of JZN Management UG (haftungsbeschränkt), Marcusallee 16, 28359 Bremen, Germany ("Delta Dynamics", "we", "us") and you, the participant ("Affiliate", "you"). By ticking the acceptance box in your referral dashboard you confirm that you have read, understood, and agree to these Terms. You may not use a referral link to earn commission until you have accepted these Terms.

1. Definitions

Affiliate — a person approved by Delta Dynamics to promote our products in exchange for a commission.
Referral Link — a unique URL of the form deltady.com/ref/<your-code> that attributes a referred sale to you.
Referral Code — the identifier embedded in a Referral Link.
Qualifying Sale — a completed, paid purchase by a customer who reached our site through your active Referral Link in the same browser session, excluding refunded, charged-back, fraudulent, or zero-value transactions and your own purchases.
Commission — the amount payable to you for a Qualifying Sale, at the rate set for your account.

2. Enrollment, eligibility & activation

Participation is by approval only. We may approve or decline any applicant at our sole discretion.
Your Referral Links are inactive until you log into your referral dashboard and accept these Terms. Until then, visitors who open your link are not attributed to you and are simply directed to our website.
You must be legally able to enter into this agreement and to receive payments in your jurisdiction.
You must be at least 18 years old. By accepting these Terms you confirm that you are at least 18 years of age. We may require proof of age and may refuse, reverse, or withhold participation and any commission if this is untrue.

3. Referral links & attribution

Attribution is session/tab-based: a sale is credited to you only when the customer opens your active Referral Link and completes the purchase in the same browser tab/session. Opening the link in a different tab, browser, or device, or after clearing site data, will not carry the attribution.
Attribution is last-click: if a customer opens more than one referral link, the most recent active link applies.
For subscriptions, commission is earned on the first payment only (the initial month). Renewals do not generate commission.
We determine attribution and commission using our own tracking records, which are conclusive absent manifest error.

4. Commissions

Your commission rate is shown in your dashboard and may differ between Affiliates. We may change rates prospectively on notice.
Commission accrues only on Qualifying Sales actually received and cleared by us.
No self-referral: purchases made by you, or via your own Referral Link by an account you control, do not earn commission.
Refunds & chargebacks: if a referred sale is refunded, charged back, or reversed, the related commission is voided/clawed back from your balance.
We may withhold or cancel commissions we reasonably believe arise from fraud, abuse, or breach of these Terms.

5. Payouts

You may request a payout once per month during the payout window that opens on the 1st, subject to a minimum payout amount shown in your dashboard.
Payouts are made by the methods we offer at the time (e.g., PayPal, bank/IBAN). You are responsible for providing accurate, complete payout details; we are not liable for losses caused by incorrect details you supply. You must also provide and keep current a complete postal address and your date of birth; we store them in encrypted form and use them for your payout documentation as required for our tax and accounting obligations.
We may pause, delay, or withhold a payout while we investigate suspected fraud, a dispute, a chargeback risk, or a breach of these Terms.
Payout amounts are stated gross. Any taxes, fees, or charges applicable to you are your responsibility (see §6).
Identity verification (KYC). Before your first payout you must complete an identity verification through our payment provider Stripe (Stripe Identity). We may withhold payouts until your identity is successfully verified. The verification confirms your legal name and is used solely to confirm your identity and your eligibility for payouts.
Self-billing credit notes. Commissions are settled by self-billing credit notes that we issue to you in accordance with § 14 (2) sentence 2 UStG. By accepting these Terms you agree to this self-billing arrangement. Each credit note shows your name, address, the billing period, and the amount; no value-added tax is shown, as you receive the commission as a private individual (Nichtunternehmer). Credit notes are made available to you in your referral dashboard.

6. Independent contractor & taxes

You act as an independent contractor. Nothing here creates an employment, agency, partnership, or joint-venture relationship.
You are solely responsible for declaring and paying all taxes, social contributions, and (where applicable) VAT on amounts you receive, and for any registration (e.g., as a business/self-employed) required in your jurisdiction.
Where required, you agree to provide a valid invoice and/or tax/VAT identification before payout, and Delta Dynamics may apply reverse-charge or withholding rules where legally required.

7. Promotion rules & acceptable conduct

You agree to promote Delta Dynamics lawfully and honestly. You must:

Disclose that you earn a commission, clearly and conspicuously, wherever you promote us, as required by applicable advertising law (including EU/German rules — e.g., labelling paid promotion as "Werbung"/"Anzeige" and U.S. FTC-style disclosures where relevant).
Keep all claims truthful, accurate, and substantiated.

You must not:
3. Send spam or unsolicited messages, or promote via misleading, deceptive, or harmful methods.
4. Use cookie-stuffing, bots, fake leads, fake reviews/testimonials, or any artificial means to generate clicks or sales.
5. Bid on, or register, domains, social handles, ad keywords, or trademarks containing our brand, or impersonate Delta Dynamics.
6. Offer unauthorized discounts, cashback, or rebates in our name, or misrepresent pricing, features, or terms.

8. Financial-product promotion (important)

Delta Dynamics provides trading software/analysis tools, not financial advice. When promoting us you must not:

Promise, guarantee, or imply any profit, income, return, or trading performance ("get rich", "guaranteed wins", specific % returns, etc.).
Present our products as financial, investment, or trading advice, or as a guaranteed signal service.
Omit risk: where you discuss results, you must make clear that trading involves substantial risk of loss and that past or hypothetical performance does not guarantee future results.

You are responsible for ensuring your promotion complies with all financial-promotion and consumer-protection laws applicable to you and your audience.

9. Intellectual property & brand use

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our approved name, logo, and materials solely to promote Qualifying Sales. This licence ends automatically when your participation ends. You acquire no other rights and may not modify our marks or create derivative or confusingly similar branding.

10. Confidentiality

Commission rates, unreleased product information, internal metrics, and other non-public information disclosed to you are confidential; you will not disclose or misuse them during participation and for three (3) years afterward.

11. Suspension, ban & termination

We may pause, suspend, ban, or terminate your participation at any time, at our sole discretion, including for any breach of these Terms.
On termination or ban for breach, unpaid commissions may be forfeited, and links associated with your account stop attributing.
You may leave the program at any time; doing so ends your right to future commissions.

12. Pausing your links

You may pause any of your Referral Links from your dashboard. While paused, the link does not attribute sales and simply directs visitors to our website. You can reactivate a paused link at any time.

13. Disclaimers & limitation of liability

The program is provided "as is". To the maximum extent permitted by law, Delta Dynamics is not liable for indirect, incidental, or consequential damages, lost profits, or lost commissions arising from the program, tracking limitations, or changes to or discontinuation of the program. Nothing limits liability that cannot be limited under applicable law.

14. Indemnification

You will indemnify and hold Delta Dynamics harmless from claims, losses, and costs (including reasonable legal fees) arising from your promotional activities, your statements about our products, or your breach of these Terms or applicable law.

15. Data protection

We process personal data you provide (identity, contact, date of birth, postal address, payout, and consent records, including the IP address and timestamp of your acceptance) to operate the program, make payments, and meet legal obligations, in accordance with the GDPR and our Privacy Policy. We generate and retain self-billing credit notes for your payouts as required by tax law, and retain consent and payout records as needed for legal and accounting purposes.

16. Changes to the program & these Terms

We may modify the program or these Terms. Your existing acceptance remains on record (we store the version you accepted). For material changes we may require you to re-accept before your links continue to attribute. Continued participation after a change means you accept it.

17. Governing law & jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the courts at the registered seat of JZN Management UG (haftungsbeschränkt) (Bremen, Germany) have jurisdiction; mandatory consumer-protection rights remain unaffected.
